Terms of Use

These Terms of Use ("Terms") govern your access to and use of the GPSWaves platform, website, mobile applications, hardware devices, and related services (collectively, the "Service") operated by Experts InfoTech (Pvt) Ltd. ("GPSWaves", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract under Pakistani law to use the Service. By accepting these Terms, you represent and warrant that you meet these requirements and that you have the authority to bind your organisation (if registering on its behalf).

2. Account Registration

• You must provide accurate, current, and complete information during registration and keep it updated.
• You are responsible for safeguarding your password and for all activity under your account.
• You must notify us immediately of any unauthorised use of your account at security@gpswaves.com.

3. Subscriptions, Fees & Billing

• The Service is offered on monthly, quarterly, and annual subscription plans as listed on our Pricing page.
• Subscription fees are billed in advance and are non-refundable except as required by law or as expressly stated in our Refund Policy.
• Hardware devices (if purchased) are billed separately and may be subject to a one-time installation fee.
• Late payments may suspend the Service after a 7-day grace period.
• We may revise pricing with at least 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to use the Service to:

• Track any person without their explicit, informed consent, except where you are the legal guardian of a minor or have lawful authority (e.g., court order).
• Stalk, harass, or harm any individual.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Service or related systems.
• Reverse-engineer, decompile, or attempt to extract the source code of any software we provide.
• Resell, sublicense, or commercially exploit the Service without our written permission.
• Use the Service for any unlawful purpose or in violation of any applicable local, provincial, national, or international law.

You are solely responsible for ensuring that you have the legal right to install tracking devices on any vehicle and to monitor any driver or asset. GPSWaves is not responsible for any unlawful installation or use by customers.

5. Hardware & Installation

• GPSWaves devices are warranted against manufacturing defects for 12 months from the date of purchase.
• Installation must be performed by our certified engineers or an authorised partner; self-installation voids the warranty.
• Tampering with the device, its SIM, or wiring may void the warranty and may breach these Terms.
• You agree to provide safe and reasonable access to the vehicle for installation, maintenance, and de-installation.

6. Intellectual Property

All content, software, designs, trademarks, and data on the Service are owned by GPSWaves or our licensors and are protected by Pakistani and international intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business or personal purposes in accordance with these Terms.

7. Service Availability

We target 99.9% platform uptime. Scheduled maintenance and unforeseen outages may occur. We will provide reasonable notice for planned maintenance. Real-time tracking inherently depends on GPS satellite coverage, cellular networks, and electrical power — factors outside our direct control — and may be temporarily unavailable.

8. Suspension & Termination

We may suspend or terminate your access if you:

• Breach these Terms or our Privacy Policy.
• Fail to pay fees when due.
• Use the Service in a manner that we reasonably believe poses a security, legal, or reputational risk.

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing cycle.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

10. Limitation of Liability

To the maximum extent permitted by law, GPSWaves shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of the Service. Our total aggregate liability for any claim shall not exceed the total fees paid by you to GPSWaves in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless GPSWaves, Experts InfoTech (Pvt) Ltd., and their officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party right.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration Act 1940 of Pakistan, seated in Lahore. The courts of Lahore shall have exclusive jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email and a prominent notice on our website at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
